CollabMate — Influencer Registration Terms and Conditions

These Terms and Conditions ("Terms") govern your registration and participation as an influencer, creator, or content partner ("Influencer", "you", "your") with CollabMate ("CollabMate", "we", "us", "our"), operated by CollabMate having its registered office at 52/5 AC Road (East), Berhampore, Murshidabad, PIN 742103, India.
By registering, creating an account, submitting an application, or accepting any campaign through CollabMate, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not register or participate.
1. Definitions
"Platform" means the CollabMate website (collabmate.in), any associated portals, dashboards, applications, or communication channels through which we operate.
"Brand" / "Client" means any third-party business, advertiser, or entity on whose behalf CollabMate coordinates influencer marketing campaigns.
"Campaign" means a specific influencer marketing activity, brief, or deliverable assigned to or accepted by you.
"Content" means any post, reel, story, video, image, audio, caption, review, blog, livestream, or other material you create, publish, or share in connection with a Campaign.
"Deliverables" means the specific Content and outputs you agree to produce for a Campaign.
"Fees" means the agreed compensation payable to you for a Campaign.
2. Eligibility
To register as an Influencer, you must:
- Be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.
- Own or lawfully control the social media account(s) you register with, and have provided accurate account details.
- Not be barred or restricted from entering into agreements under any applicable law.
- Provide accurate, complete, and current registration information, including any KYC, tax (PAN/GST where applicable), and bank details we reasonably require for payment and compliance.
We reserve the right to verify your identity, account authenticity, and metrics, and to accept or reject any registration at our sole discretion.
3. Registration and Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to keep your profile information, follower data, contact details, and payment information accurate and up to date.
You must notify us promptly of any unauthorized use of your account or breach of security.
Providing false, misleading, or manipulated information (including purchased followers, bot engagement, or fake metrics) is a material breach of these Terms and may result in immediate suspension, termination, and forfeiture of pending Fees.
4. Campaign Participation and Deliverables
Registration does not guarantee that you will be offered any Campaign or minimum volume of work.
Each Campaign is subject to a separate brief, scope, timeline, and (where applicable) an individual campaign agreement or purchase order, which forms part of these Terms for that Campaign.
Once you accept a Campaign, you agree to produce the Deliverables in accordance with the brief, agreed timelines, format specifications, and brand guidelines provided.
You agree to submit Content for review and approval where required, and to make reasonable revisions requested by CollabMate or the Brand before publication.
You must not materially alter, delete, or take down published Campaign Content during the agreed retention period without our prior written consent.
5. Content Standards and Advertising Disclosure (Mandatory)
You acknowledge that influencer Content is subject to Indian advertising and consumer protection law, and you agree to fully comply, including:
Disclosure of material connection. All promotional or paid Content must carry a clear, prominent, and upfront disclosure label (such as "#ad", "#sponsored", "#collaboration", "#partnership", or an equivalent recognized by the platform), in line with the ASCI Guidelines for Influencer Advertising in Digital Media and the CCPA Guidelines for Prevention of Misleading Advertisements and Endorsements, 2022 issued under the Consumer Protection Act, 2019.
The disclosure must be hard to miss, appropriate to the medium (video, image, audio, live), and not buried among other tags.
Genuine endorsement. You must actually use, hold an honest opinion of, or have adequate due diligence about any product or service you endorse, and your claims must not be false, misleading, or unsubstantiated.
Content must not be defamatory, obscene, discriminatory, unlawful, infringing, or in breach of any third-party rights.
You must comply with the terms, community guidelines, and disclosure tools of the relevant social media platform.
For regulated categories (e.g. financial products, health/medical, food supplements, alcohol, or others), you must include any additional disclaimers or comply with any restrictions we or the Brand specify.
You are solely responsible for ensuring your Content complies with this Section, and any regulatory penalty arising from your non-compliance is your responsibility.
6. Payment Terms
Joining fees as an influencer with CollabMate is ₹5,900 including GST. Cancellation of registration can be done within 1 hour of registration to avoid joining fees.
Fees for each Campaign will be as agreed in writing (via the Platform, campaign brief, or order confirmation) before you commence the Deliverables.
Fees are payable only upon satisfactory completion, publication, and (where applicable) verification of the agreed Deliverables, subject to the payment cycle of Net 30 days from invoice submission / campaign completion.
A 20 percent commission fee applies for every successful campaign.
You are responsible for issuing valid invoices where required and for providing correct bank/UPI and tax details.
Payments are subject to applicable Tax Deducted at Source (TDS) and other statutory deductions. You are responsible for your own income tax, GST (if registered), and other tax obligations.
No Fees are payable for Deliverables that are not published, are taken down early, materially fail to meet the brief, or are produced in breach of these Terms.
Any third-party costs (data, travel, props, production) are borne by you unless expressly agreed otherwise in writing.
7. Intellectual Property and Content License
Unless otherwise agreed in a Campaign, you retain ownership of the original Content you create, but you grant CollabMate and the relevant Brand a worldwide, royalty-free, non-exclusive, sub-licensable license to use, reproduce, repost, adapt, and display the Campaign Content for the Brand's and CollabMate's marketing, promotional, and portfolio purposes for the period specified in the Campaign (or, if unspecified, for 12 months from publication).
Where a Campaign expressly requires full assignment or exclusive usage rights (e.g. paid ad usage / "whitelisting" / content buyout), the specific terms and any additional fee will be set out in that Campaign agreement.
You warrant that all Content is your original work or that you have secured all necessary rights, licenses, and consents (including for any music, footage, images, or third-party appearances used), and that its use will not infringe any third-party rights.
You must not use CollabMate's or any Brand's trademarks, logos, or confidential materials except as expressly authorized for the relevant Campaign.
8. Representations and Warranties
You represent and warrant that:
- All information you provide is true, accurate, and not misleading.
- Your follower base and engagement are genuine and not artificially inflated.
- You will comply with all applicable laws, including the Consumer Protection Act, 2019, the Information Technology Act, 2000, ASCI and CCPA guidelines, and any platform rules.
- You have the right and authority to enter into these Terms and to grant the licenses described.
- Your Content and conduct will not bring CollabMate or any Brand into disrepute.
9. Prohibited Conduct
You must not:
- Publish false, deceptive, or unsubstantiated claims about any product or service.
- Omit required advertising disclosures.
- Engage in fraudulent activity, including fake engagement, click fraud, or misrepresentation of results.
- Simultaneously promote a directly competing brand during an agreed exclusivity period.
- Disclose confidential Campaign or Brand information.
- Harass, defame, or discriminate against any person or group, or publish unlawful, hateful, or obscene material.
- Circumvent CollabMate to deal directly with a Brand introduced through us during the Campaign and for 6 months thereafter, where doing so would bypass agreed commercial arrangements.
10. Confidentiality
You agree to keep confidential all non-public information disclosed to you by CollabMate or a Brand, including briefs, rates, strategies, unreleased products, and business information, and to use it only for the purpose of the relevant Campaign. This obligation survives termination of these Terms.
11. Data Protection and Privacy
CollabMate collects and processes your personal data (including contact, KYC, tax, and payment information) in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023.
By registering, you consent to such collection, processing, and sharing of your data with Brands and service providers as reasonably necessary to operate campaigns and make payments.
You may exercise your rights regarding your personal data as described in our Privacy Policy by contacting support@collabmate.in.
12. Relationship of the Parties
You participate as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and CollabMate. You are not entitled to any employee benefits and are responsible for your own taxes and statutory contributions.
13. Suspension and Termination
We may suspend or terminate your account and/or any Campaign, with or without notice, if you breach these Terms, provide false information, engage in prohibited conduct, or bring reputational harm to CollabMate or a Brand.
You may deactivate your account at any time, subject to completing any Campaign you have accepted and any surviving obligations.
Termination does not affect accrued rights, payment obligations for validly completed Deliverables, or any provisions intended to survive (including IP license, confidentiality, indemnity, and limitation of liability).
14. Indemnity
You agree to indemnify and hold harmless CollabMate, its directors, employees, and Brands from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your Content; (c) your violation of any law or third-party right; or (d) any misrepresentation by you.
15. Limitation of Liability
To the maximum extent permitted by law, CollabMate shall not be liable for any indirect, incidental, special, or consequential losses, or for loss of profit, goodwill, or opportunity.
CollabMate's total aggregate liability arising out of or in connection with a Campaign shall not exceed the total Fees actually payable to you for that specific Campaign.
CollabMate does not guarantee any specific reach, engagement, sales, or campaign outcomes.
16. Disclaimers
The Platform and any tools are provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation, and we are not responsible for the acts, omissions, or payment defaults of third-party Brands beyond our agreed obligations.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India.
Subject to Section 17.3, the courts at Kolkata, West Bengal shall have exclusive jurisdiction.
The parties shall first attempt to resolve any dispute amicably. Failing resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Kolkata, conducted in English.
18. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on the Platform with an updated "Last updated" date. Your continued registration or participation after changes take effect constitutes acceptance of the revised Terms.
19. Miscellaneous
Entire agreement: These Terms, together with any Campaign-specific agreement and our Privacy Policy, constitute the entire agreement between you and CollabMate.
Severability: If any provision is held invalid, the remaining provisions continue in full force.
Waiver: Our failure to enforce any right is not a waiver of that right.
Assignment: You may not assign your rights or obligations without our prior written consent. We may assign these Terms to an affiliate or successor.
